Overview
It is essential for lawyers advising directors to understand the duties owed to the companies they serve.
Directors’ duties are designed to ensure the smooth operation of the company and to safeguard it from threats that may jeopardise its survival. One of the greatest challenges directors face is understanding how they should discharge their duties in order to meet their legal and fiduciary obligations. Failure to meet these obligations can have significant consequences both for the director and the company.
This course aims to provide legal practitioners with an overview of directors’ duties, how these should be discharged, and how to manage risks that may come with taking on directorial roles.
The course covers:
- directors’ duties under general law, statute and contract
- liabilities for breaching directors’ duties, including civil and criminal penalties
- defences and relief for breaches of directors’ duties
- practical strategies for managing risks that come with taking on directorial roles.
